1. ACCEPTANCE OF TERMS
By accessing or using the services provided by Kambex Labs LLC ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.
2. DESCRIPTION OF SERVICES
We provide game server hosting services, including access to server management panels and any custom developed content created specifically for your use. All services are provided on a subscription basis with recurring monthly billing.
3. ELIGIBILITY
You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
4. ACCOUNT REGISTRATION
To use our services, you must create an account and provide accurate, complete, and current information including:
- First and last name
- Email address
- Physical address
- Phone number
- Billing information
- Any other information necessary to provide and track your services
You are prohibited from registering with data that belongs to third parties or is otherwise inaccurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5. PAYMENT AND BILLING
5.1 Subscription Services
All services are provided on a subscription basis. Payment is processed through a third-party payment processor. By subscribing to our services, you authorize us to charge your payment method on a recurring basis.
5.2 Billing Cycle
Your billing cycle begins on the date you first subscribe to a service and renews on the same day of each subsequent month (or contract period). If a renewal date falls on a day that does not exist in a given month, billing will occur on the last day of that month.
5.3 Payment Failure
If payment fails, your services may be suspended or terminated. You remain responsible for all outstanding charges.
5.4 Taxes
You are responsible for any applicable taxes, duties, or government charges associated with your use of our services.
6. REFUND POLICY
Refunds are available only if you notify us within 24 hours of your initial service purchase. After this 24-hour period, all payments are final and non-refundable. To request a refund, contact us at contact@kambexlabs.com.
7. CANCELLATION AND TERMINATION
7.1 Customer Cancellation
You may cancel your service at any time. Upon cancellation:
- If you cancel within 24 hours of purchase, you will receive a full refund
- If you cancel after 24 hours, no refund will be issued
- Your service will remain active until the end of your current billing cycle
- All server data will be deleted at the end of your billing cycle
7.2 Early Termination of Discounted Contracts
If you purchased a service with a discount for committing to an extended contract period (e.g., 6-month contract) and cancel before the contract term ends:
- You will owe all discounted amounts saved during the period you used the service
- You will owe one additional month of service fees at the regular rate
- These amounts must be paid before your account can be closed
7.3 Termination by Company
We reserve the right to suspend or terminate your account and access to our services at any time, for any reason, including but not limited to:
- Violation of these Terms
- Non-payment
- Fraudulent activity
- Abuse of services
- Any other reason at our sole discretion
We are not required to provide advance notice of termination.
7.4 Effect of Termination
Upon termination of your account:
- Your access to all services will be immediately revoked
- All server data and configurations will be permanently deleted
- Your account information will be retained as described in our Privacy Policy
- You remain responsible for all outstanding fees and charges
8. SERVICE SPECIFICATIONS AND LIMITATIONS
8.1 Resource Limits
Server resource limits including bandwidth, storage, CPU allocation, and other specifications are defined in your service plan and invoice. You agree not to exceed these limits.
8.2 Service Availability
We do not guarantee any specific uptime or service availability. Service interruptions may occur due to maintenance, technical issues, or other factors beyond our control.
8.3 DDoS Protection
DDoS protection capabilities may vary based on service location and infrastructure provider. We make no guarantees regarding the level or effectiveness of DDoS protection.
8.4 Backups
You are solely responsible for backing up your server data and configurations. We do not provide backup services or guarantee data recovery.
9. ACCEPTABLE USE POLICY
9.1 Prohibited Activities
You are prohibited from using our services to:
- Upload, store, or distribute unlawful or impermissible content
- Provide content that is insulting, discriminatory, obscene, harmful to minors, or glorifies violence
- Incite criminal offenses or promote illegal activities
- Infringe upon third-party rights including copyrights, trademarks, or rights of personality
- Engage in fraudulent activities or misrepresent your identity
- Compromise security or interfere with other users' services
- Use services for any illegal purpose
9.2 Enforcement
We reserve the right to investigate suspected violations of these Terms. We may remove content, suspend or terminate accounts, and cooperate with law enforcement as necessary.
10. INTELLECTUAL PROPERTY
10.1 Company IP
All content, features, functionality, and materials provided by us, including our website, software, logos, and trademarks, are owned by Kambex Labs LLC and are protected by intellectual property laws.
10.2 Custom Developed Content
For any custom applications, features, or content we develop specifically for you:
- Kambex Labs LLC retains all intellectual property rights and ownership
- You are granted a non-exclusive, non-transferable license to use the custom content only while actively paying for the associated service
- Upon termination or non-payment, your license to use the custom content immediately terminates and you must cease all use
10.3 Customer Content
You retain ownership of any data, configurations, or content you upload to your game server. However, we do not claim any ownership or license to your server content.
11. DISCLAIMERS
11.1 Service "As Is"
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 No Guarantee
We do not guarantee that our services will be uninterrupted, secure, or error-free. We do not guarantee any specific results from use of our services.
12. LIMITATION OF LIABILITY
12.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE MONTH IN WHICH THE CLAIM AROSE.
12.2 Excluded Damages
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.3 No Liability Beyond Monthly Fees
Our liability for any service issues, downtime, data loss, or other problems is limited solely to the monthly service fee paid for the affected service during the month in which the issue occurred.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Kambex Labs LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of third parties
- Content you upload or transmit through our services
14. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
15. MODIFICATIONS TO SERVICES
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of services.
16. DISPUTE RESOLUTION
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
16.2 Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Knox County, Tennessee, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs and expenses associated with arbitration.
16.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Kambex Labs LLC individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16.4 Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or confidential information.
17. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
18. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kambex Labs LLC regarding our services and supersede all prior agreements and understandings.
19. WAIVER
Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or our right to enforce it in the future.
20. ASSIGNMENT
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

23. FORCE MAJEURE
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, or severe weather
- War, terrorism, civil unrest, or government action
- Internet service provider failures or disruptions
- Power outages or telecommunications failures
- Cyber attacks, DDoS attacks, or hacking attempts
- Pandemics, epidemics, or public health emergencies
- Strikes, labor disputes, or supplier failures
- Hardware or software failures of third-party providers
During such events, our performance obligations will be suspended for the duration of the force majeure event, and we will not be liable for any resulting delays or failures to perform.
24. PRICE CHANGES
We reserve the right to modify our pricing for services at any time. Price changes will be implemented as follows:
24.1 New Customers
New pricing applies immediately to all new service purchases.
24.2 Existing Customers
For existing customers with active services, price changes will take effect at your next billing cycle renewal following thirty (30) days written notice. Notice will be sent to the email address associated with your account.
24.3 Promotional and Discounted Pricing
Promotional rates, discounts, and special pricing are subject to change or termination at any time. Upon expiration of any promotional period, standard pricing will apply at your next renewal.
24.4 Right to Cancel
If you do not agree to a price increase, you may cancel your service before the new pricing takes effect. If you do not cancel and continue using the service after the new pricing becomes effective, you agree to pay the new price.
24.5 Long-Term Contracts
Customers with prepaid long-term contracts (e.g., 6-month, 12-month) will continue at their contracted rate until the end of their prepaid term. New pricing will apply upon renewal of the contract.
25. DELIVERY POLICY
25.1 Service Delivery
Digital services are considered delivered when:
- Your game server has been provisioned and allocated to your account
- Access credentials and server details have been provided via email to your registered email address
- The server management panel shows the server as active and accessible
Delivery is typically completed within minutes to hours of payment confirmation, depending on server availability and configuration complexity.
25.2 Delivery Timeframe
Standard server provisioning occurs within 24 hours of payment confirmation. Custom configurations or specialized services may require additional time, and estimated delivery timeframes will be communicated at the time of purchase.
25.3 Delivery Confirmation
You will receive an email confirmation at your registered email address containing:
- Server access information
- Management panel login credentials
- Server specifications and resource allocations
- Getting started instructions
25.4 Access Issues
If you do not receive access to your server within the stated timeframe, or if you experience issues accessing your delivered service, contact us immediately at contact@kambexlabs.com.
25.5 No Physical Delivery
All services are digital and delivered electronically. No physical products or shipments are involved. There are no shipping costs, and services are accessible immediately upon delivery via your account panel.
25.6 Recurring Services
For subscription-based services, delivery is ongoing and continuous for the duration of your active subscription. Service continues to be delivered each billing cycle as long as payment is successfully processed.
25.7 Customer Responsibility
You are responsible for:
- Providing accurate and current email address during registration
- Checking your email inbox and spam/junk folders for delivery notifications
- Maintaining access to your registered email account
- Notifying us immediately if you do not receive delivery confirmation
We are not responsible for delivery failures caused by incorrect email addresses, full mailboxes, spam filters, or other email delivery issues on your end.
25.8 Delivery Delays
While we strive to deliver services within the stated timeframe, we are not liable for delays in service delivery caused by:
- Technical issues or system maintenance
- Payment processing delays or verification requirements
- Circumstances beyond our reasonable control
- High demand or resource limitations
In the event of significant delivery delays, we will make reasonable efforts to notify you and provide an updated timeframe.
25.9 Service Interruptions
Ongoing delivery of services may be interrupted due to:
- Scheduled or emergency maintenance
- Payment processing failures or declined payments
- Account suspension or termination for Terms violations
- Technical issues with infrastructure or third-party providers
- Force majeure events as described in Section 23
We will make reasonable efforts to minimize service interruptions and provide advance notice when possible. No refunds or credits are provided for interruptions unless otherwise specified in these Terms.
